Anjli joined the firm in 2014 and is member of the corporate/commercial department. She is an active member of the firm’s research team and has worked on several M&A, project and corporate finance and restructuring transactions as part of the deal team.

She also advises extensively on property sales and acquisitions, property joint ventures, non-contentious probate matters, and the structuring of property developments, including residential and mixed-use projects.

Her top transactions, whether by reason of interest or complexity, include:

  • Advising as part of the deal team Britannia and Associates (Dubai) Pvt. Co. Ltd and Britannia Industries Limited in the formation of a joint venture with Kenafric Industries Limited in which the client held majority shares and which joint venture vehicle acquired the assets and business of Britania Foods Limited (in Administration). The transaction involved carrying out an in-depth due diligence of the targets and advising on the option of purchasing the assets of Britania Foods Limited (in Administration) through a pre-pack sale; advising on the transaction structure in relation to the various acquisitions being undertaken by the joint venture vehicle in Kenya and Mauritius and the required regulatory approvals under the Competition Act; assisting in the negotiation and preparation of the transaction documents.  

  • Advising as part of the deal team Compagnie Financière Michelin SCmA and CFAO in the formation of a joint venture company in Kenya which would undertake the distribution and retail of a multi brand tyres, tyre-related accessories and providing tyre-related services in Kenya and Uganda. The transaction involved providing advice on the regulatory approvals required from the Competition Authority of Kenya and the COMESA Competition Commission and assisting in the review and preparation of the joint venture agreement from a Kenyan law perspective.

  • Advising as part of the firm’s legal team acting for SBM Bank (Kenya) Limited in the acquisition of certain assets and assumption of certain liabilities of Chase Bank (Kenya) Limited which was under receivership. The transaction was the first M&A in Kenya involving a bank placed under receivership.

  • As part of the firm’s legal team in acting as legal advisors in the re-organisation and re-structuring of Housing Finance Company of Kenya Limited - a Kenyan Bank listed on the Nairobi Securities Exchange and with subsidiaries in Kenya, in the proposed re-organisation and restructuring of interests as a service provider in the business of retail banking, microfinance and related services in East Africa

  • Advising a consortium of lenders, as local counsel, in connection with facilities for the sum of USD 600 million to be granted to East Africa Data Centre Limited.

  • Acting for Grain Bulk Handlers in connection with the financing of a medium-term facility of USD 114 million from Eco-Bank. The client is a wholly-owned Kenyan company that owns and operates a specialised terminal for the handling of bulk grain imports.

Anjli is an Advocate of the High Court of Kenya and was trained as a pupil at the firm where she was exposed to various facets of banking, finance and real estate & construction law practice.
